Commercial Real Estate Transactions

Our firm handles all manner of commercial real estate transactions and closings, including residential and commercial rental properties, office buildings, and industrial properties.  We are fully staffed and equipped to provide all services necessary to close your real estate transaction, including abstracting, title examinations, title opinions, preparing all agreements, contracts and other documents related to the transaction, issuing lender’s and owner’s title insurance, and conducting the closing where the deal is finalized.

Commercial Non-Real Estate Transactions – Movables / Chattels

Under Louisiana law, real estate is referred to as immovable property while everything else is considered movable property.  Our firm not only closes real estate deals, but handles transactions involving movables as well where the collateral could be equipment, furniture, fixtures, accounts receivables, vessels, or even aircraft.  Our attorneys have experience in perfecting security interests through UCC filings, working with the FAA on aircraft, and with the Coastguard for Preferred Ship Mortgages.

Commercial Real Estate Developments

Our firm provides legal counseling and services to commercial land developers, including the development of rental properties (apartments, condominiums, etc.), shopping and retail centers, industrial, office, mixed-use, and other planned development projects.

Owners’ Associations

We provide legal guidance to owners’ associations for residential, commercial, and mixed use developments.   We give advice on issues pertaining to the association’s operations, including rule making, variances, meeting requirements, and document enforcement.  We prepare, review, update, and revise association documentation such as covenants, restrictions, conditions, and bylaws.  We have formed numerous community and home owners’ associations in the Acadiana area.

1031 Exchanges

A valuable tool for real estate investors who want to defer payment of capital gains taxes is the 1031 Exchange.  If done correctly, the gain from the sale of a property can be deferred if you purchase another property within stipulated time frames.  Our attorneys can advise you on this program and walk you through this process.

Small Business Administration (SBA) Loans

Our firm has handled numerous SBA loans both in the 7A program and the 504 program.  Randy Olson is the only “designated” SBA 504 attorney in the state of Louisiana.

Leasing Transactions

In addition to handling the purchasing and selling of real estate, we are also asked to draft lease agreements for our clients.  Our attorneys are very skilled in drafting or reviewing residential and commercial leases to protect our clients.

Business Entity Formation

Our firm advises new business owners on the legal, financial, and contractual issues related to starting a business.  One of the most important choices you will make is the type of legal structure to select for your business. We guide our clients in choosing the appropriate legal structure of their new company, which can include corporations (S-Corporation or C-Corporation), partnerships (general or limited), and limited liability companies (LLCs).  We then complete the documents and filings necessary to adequately form and organize the new business entity.

Governance Agreements

Once your business entity is formed, our firm will prepare ownership and management agreements that set forth rules and regulations for the internal governance and management of your company, such as shareholder agreements, bylaws, operating agreements, and management agreements.   These types of agreements are important to every business and help avoid future litigation between you and your co-owners.  Our firm also reviews, updates, and revises existing management agreements.
